OFFICIAL RULES

INTRODUCTION

Drone Racing League, Inc., a Delaware Corporation located at 40 West 27th St., New York New York 10001, (“DRL” “Promoter”) is promoting the international 2019 SWATCH DRL TRYOUTS (“the Contest”) for participation in the 2019 SWATCH DRL LIVE TOURNAMENT FINALE (“the Live Tournament”) to be held in Las Vegas on February 9, 2019. SWATCH serves as title Sponsor of the Contest and Live Tournament.

OBJECTIVE: This Contest is skill-based using the DRL SIMULATOR video game. There is NO CASH VALUE for winning the Contest or the Live Tournament. Participants (“Pilots”) will race the 2019 DRL SIMULATOR in order to complete the map under a certain amount of time. The DRL SIMULATOR shall be made available to Pilots via the STEAM gaming platform (“STEAM”). Pilots who complete the map under 9 minutes are eligible to compete (pursuant to the eligibility and terms and conditions below) and will have the opportunity to compete in 2019 Live Tournament to be held in Las Vegas on February 9, 2019 (“Contest Winners”).

The WINNER of the 2019 LIVE TOURNAMENT will receive the Titles of CHAMPION OF THE 2019 SWATCH DRL LIVE TOURNAMENT FINALE and SWATCH PILOT (provided Pilot joins DRL Pilot League in accordance with the terms herein) with a $75,000 contract.

THE WINNER of the 2019 SWATCH DRL LIVE TOURNAMENT FINALE will also have the opportunity, provided however, NOT THE GUARANTEE, to become an Official Drone Racing League Pilot as THE SWATCH PILOT. This opportunity shall be subject to certain terms and conditions of any and all applicable agreements, including but not limited to the acceptance of all applicable terms and conditions, the execution of an agreement for personal services, and the ability to secure applicable US visa requirements. The WINNER of the 2019 SWATCH DRL LIVE TOURNAMENT FINALE is in neither bound by, nor obligated to accept, the terms of the Pilot agreement. No monetary value will be substituted in the event a contract is not executed.

THE DRL OFFICIAL RULES FOR GAME PLAY:

Each Pilot will compete by racing in three (3) races (“heat”) on the designated 2019 Swatch DRL Tryouts map. Each Pilot must complete the three (3) heats in CONSECUTIVE ORDER.

The total sum of the Pilot’s 3 heats shall comprise the Pilot’s “Competition Score.” Each Pilot’s Competition Score will be posted in the order of the Pilot’s speed on the DRL Leaderboard in the DRL SIMULATOR game. Pilots with a competition score of under 9 minutes will be deemed WINNERS of the Tryouts and thus eligible to compete in the 2019 Swatch DRL Live Tournament Finale (provided he or she is otherwise eligible).

WINNERS, (provided each Pilot is eligible in accordance with the terms and conditions herein), will be invited to Las Vegas, USA to compete in the 2019 SWATCH DRL Live Tournament Finale.

START TIME AND END TIME OF CONTEST: The Contest begins at XX Pacific Standard time (“Start Time”) on XX  and ends on XX Pacific Standard Time on XX (“End Time”).

  1. GENERAL TERMS OF ENTRY

1.1 By entering into the Contest, You (“Pilot(s),” “You”) hereby agree, accept, adhere to, and sign up to the 2019 SWATCH DRL TRYOUTS and the 2019 SWATCH DRL LIVE TOURNAMENT FINALE OFFICIAL RULES (“the Official Rules”), the Contest and Live Tournament Terms and Conditions (“Terms and Conditions”) set forth herein and any and all rules and agreements used in connection therewith including but not limited to the DRL Privacy Policy, DRL Terms of Use, the DRL Live Tournament Rules and Terms and Conditions, the STEAM Video Game Platform Terms and Conditions, Terms of Use, Privacy Policies, and Account Rules, and any other rules and terms of use and conditions of DRL or its third party affiliates, licensees, partners, designees, assignees, including but not limited to Sponsor and ESPN, in connection with the Contest and Live Tournament (“the Additional Rules”) as may be required for participation.

1.2 All DRL Terms of Use, Privacy Policy, and associated Rules may be updated from time to time and will be available at https://thedroneracingleague.com/2018-swatch-drl-tryouts-terms-conditions/. STEAM Video Game Platform will also include its own Terms of Use and Terms and Conditions and Privacy Policies which shall apply to the Pilot’s use of its website and content. BY PARTICIPATING IN THE CONTEST OR LIVE TOURNAMENT, YOU AGREE TO INDEMNIFY, DEFEND (AT DRL’S OR SPONSOR’S REQUEST) AND HOLD HARMLESS DRL AND SPONSOR FOR YOUR USE OF THE STEAM PLATFORM OR ANY ASSOCIATED USE OR ACTIVITIES RELATED THERETO.

1.3 Pilots are under no obligation to accept any of the rules referred to herein and may decide to withdraw from the Contest or Live Tournament at any time. DRL, Sponsor, STEAM and any Third Party affiliates shall have no obligations to Pilots who withdraw from the Contest and/or Live Tournament.

1.4 Pilots registering to participate in the Contest and Live Tournament hereby represent and warrant that:

  1. The Pilot meets the eligibility requirements contained in Section 2 and elsewhere in this Agreement, and is eligible to claim any prize or title that he/she may acquire or win.

 

  1. The Pilot acknowledges and agrees that he or she is responsible for any and all arrangements, costs, and expenses associated with participation in the Contest or Live Tournament, including but not limited to travel both to and from Las Vegas, transportation while in Vegas, lodging, accommodations and meals.
  1. The Pilot fully and unconditionally accepts and agrees to comply with all of the all terms of use, contest rules, privacy policies, and participation rules in connection with the Contest and Live Tournament, including but not limited to the Official Rules, Terms and Conditions, Terms of Use, Privacy Policies, DRL Simulator instructions, and those of any and all Third Parties in connection with the Contest and Live Tournament, including but not limited to STEAM and Sponsor;
  1. The Pilot agrees to accept the decisions, protocols, and actions undertaken by DRL and its affiliates, including but not limited to the STEAM and Sponsor, with respect to any and all matters related to the Contest and Live Tournament, which are binding and final.
  1. PILOT ELIGIBILITY

2.1 General Requirements.

  • (a)  Pilot shall meet all applicable requirements set forth in this Section 2 in order to be eligible to participate in the Contest and the Live Tournament. Pilot represents and warrants that Pilot is free to enter in the Contest and that Pilot is under no restriction, contractual or otherwise, with respect to Pilot’s rights to participate in, agree, authorize and consent to execute any and all agreements in connection with the Contest and Live Tournament, to grant any and all rights pursuant hereunder, and to perform each and every obligation hereunder.
  • (b)  If Pilot cannot or will not meet the eligibility requirements set forth herein, he or she shall be deemed ineligible for the Contest and the Live Tournament and removed from the participant entries. Notwithstanding the foregoing, DRL has the right to investigate eligibility criteria for Pilots and in its sole discretion, DRL may reinstate any Pilot who it believes has met all of the eligibility requirements.

(c ) DRL, in its sole discretion, may (however, shall not be obligated to) conduct background checks with respect to Pilot entrants, both criminal and civil, with respect to their eligibility in connection with the Contest and Live Tournament and reserves its right to disqualify any Pilot at any time for failing to the meet the requirements herein.

2.2  Territory and Age Requirements.

  • (a)  Participation in the Contest and the Live Tournament is open to residents of any state in the United States of America and to residents of any and all countries which such state or federal laws permit the playing of video games online and where participation in contests is not otherwise prohibited by law. VOID WHERE PROHIBITED BY LAW.
  • (b)  It is the Pilot’s sole responsibility to determine whether participation herein is deemed unlawful by Pilot’s resident country or state.
  • (c)  The Contest and Live Tournament are open to anyone age 18 or older.
  • (d)  DRL reserves the right to require proof of Pilot’s residence and age. Failure to provide such information shall result in disqualification.

2.3 Pilot Visa and Pilot Ability to Travel/Accommodate in New York City, USA Required.

  • (a)  Pilots must possess a valid, applicable travel visa and required health certification for the purposes of participation in the Live Tournament and entry into the United States of America.
  • (b)  Pilot understands, acknowledges and agrees that Pilot shall be solely responsible for any and all arrangements, costs and expenses to participate in the Live Tournament, including but not limited to travel, transportation, lodging accommodations and meals. Further, Pilots understand, acknowledge and agree that DRL shall not be responsible for furnishing costs and expenses with respect to Pilot’s participation in the Live Tournament.
  • (c)  Pilot hereby expressly understands, acknowledges and agrees that DRL is responsible nor obligated to provide and shall not advise, guide or consult with Pilot with respect to Paragraphs 2.3(a) and (b).

2.4 Related Parties and Former and Current DRL Personnel.

  • (a) Pilot represents and warrants that he or she is not within one of the classes of ineligible participants described below in Sections 2.4(b)-(d).  
  • (b) Employees and their immediate families, spouse, parent, children, siblings, and respective immediate families, spouses, parents, step-parents, children, step-children, siblings (collectively “Related Parties”) or those living in the same household, whether or not related, of DRL, SWATCH, and STEAM, and their respective agents, designees, partners, subsidiaries, prize suppliers, distributors, advertising, promotion, marketing agencies are not eligible to enter or win.
  • (c)  Any person involved in and/or connected with the Contest, the DRL Simulator, and/or the Live Tournament is ineligible.

(d) Any person who has previously participated in DRL as a Pilot, employee or coach is ineligible.

2.5 Materials for Eligibility:

(a) Pilots are only eligible to participate in the Contest if they have the following:

(i) a suitable Windows or Mac PC; (ii) the DRL Simulator publicly available on STEAM; and (iii) an internet connection.

(b) Pilots are responsible for providing their own computer hardware and internet connection. DRL recommends a 3 MB/s download and 0.5 MBs upload internet connection.

2.6 No Obligation by DRL, Sponsor or Affiliates for Pilot Eligibility in General. Except with the express online Contest game play provided via STEAM, Pilot hereby understands and acknowledges that DRL, its Sponsor, STEAM or any and all third party affiliates are not obligated to furnish materials or information with respect to Pilot eligibility and are not responsible to Pilot for advising, directing, counseling, obtaining or securing information, materials, visas, travel accommodations in connection with the Contest and/or Live Tournament. Further, DRL is not obligated to answer any inquiries with respect thereto.

  1. HOW TO ENTER

3.1 NO PURCHASE OR PAYMENT OF ANY ITEM OR SERVICE IS NECESSARY TO ENTER THE CONTEST OR LIVE TOURNAMENT. Pilot entries are acceptable only when received in accordance to the terms as well as the conditions of this Agreement.

3.2 To enter the Contest and qualify for the Live Tournament, Pilots must create an online account using the STEAM Website. There is no cost or charge to create an online account on the STEAM Website. STEAM website rules, policies and terms of use and terms and conditions also apply.

3.3 Pilot will be asked to provide Pilot’s name and specific information such as email address, nationality, date of birth and will be asked to create a User Name and Password in connection with creating a STEAM account. STEAM will submit Pilot information to DRL and any and all Pilot information will be controlled, maintained and utilized pursuant to this Agreement (DRL Privacy Policy, Terms of Use, Terms and Conditions). Pilot warrants and represents that any and all personal information with respect to the terms herein shall not violate or infringe on any third party rights and that all information provided is verifiable, truthful and accurate. Pilot agrees to DRL’s and Sponsor’s use of Pilot information in connection with the Contest and Live Tournament as provided hereunder.

3.4 Pilot is responsible for ensuring that his or her Pilot user name is not offensive, discriminatory, or inappropriate.  Notwithstanding the foregoing, DRL reserves the right (but does not incur the obligation) to reject a proposed Pilot user name on the basis that it is offensive or inappropriate, or for any reason whatsoever.

3.5 Notwithstanding anything to the contrary herein, DRL shall, in its sole discretion, and without notice, disqualify any Pilot for breaching any of the terms herein and/or delete Pilot’s account for breach. DRL’s decision shall be final.

3.6 DRL, its agents, affiliates, Sponsors, Licensees shall not be responsible or liable for the following:

  • (a)  Pilot entries which may be the result of delays in transit, regardless of cause, and any and all failures and malfunctions including but not limited network, equipment, technical, systems, computer hardware, software, satellite, communication and media; or
  • (b)  Any and all Contest and Live Tournament entries which, in DRL’s sole discretion, will be deemed disqualified on the basis that they were (i) submitted after the deadline included herein; (ii) lost, (iii) incomplete; (iv) invalid; (v) illegible (vi) obscene; (vii) misdirected; (viii) damaged; or (ix) stolen

3.7 Pilots may enter the contest as many times as possible. Multiple entries by the same Pilot will be deemed automatically disqualified. Entries under any additional names, monikers or sobriquets by the same individual Pilot will be deemed automatically disqualified. DRL shall have sole discretion with respect to determining multiple entries.

3.8 For the purposes of entry, the authorized subscriber is the natural person who is assigned the email address by the Internet Service Provider (ISP) of the email account/address which has submitted entry to the Contest and shall be deemed Pilot in cases where DRL, in its sole discretion, has determined that multiple users have been entered from the same email address.

  1. 2019 SWATCH DRL TRYOUTS WINNER SELECTION AND NOTIFICATION

4.1 DRL will determine the Pilots who are Winners of the Contest by those who complete 3 heats of the official tryouts map in 9 minutes of less.

4.2 DRL will notify the official Winners of the Contest via email (using the email address providing during registration) which will be sent within seventy-two (72) hours following the End Time. Any notification deemed undeliverable to a Winner of the Contest shall automatically disqualify that Winner of the Contest to participate in the Live Tournament.

4.3 Winners of the Contest must confirm and respond to the invitation to the 2018 DRL Live Tournament within seventy-two (72) hours of DRL’s notification. The confirmation shall detail the Winner of the Contest’s eligibility pursuant to the terms and conditions and rules herein as well as the Winner of the Contest’s willingness to attend and participate. Winners of the Contest who fail to confirm and respond in accordance therewith, in DRL’s sole discretion, will be automatically disqualified.

4.5 All Winners of the Contest must be eligible pursuant to the terms and conditions herein, (including but not limited to Paragraphs 2 and 5 herein). Additionally, all Winners of the Contest must be eligible and agree, acknowledge, and consent to the Live Tournament Rules/Terms and Conditions incorporated by reference herein. In the event a Winner of the Contest is deemed ineligible pursuant to the terms and conditions herein, in DRL’s sole discretion, is unable to, or unwilling to attend the Live Tournament for any reason, as applicable, or for disciplinary, operational or similar reasons, including but not limited whose background check precludes participation or who cannot obtain a valid US visa for participation, DRL, in its sole discretion, reserves the right to replace that Winner of the Contest with an alternative as provided hereunder.

4.6 Additionally, any Winner of the Contest who has not submitted required documents within any specified time periods, falsified information and/or documents or who has been deemed to have committed any violations or breaches of the terms and conditions and the rules herein, including exhibiting poor sportsmanship (at DRL’s sole discretion), will be automatically disqualified.

4.7 Winners of the Contest who are unable to attend the Live Tournament for any reason or disqualified as provided hereunder, will be replaced by an alternative; the next available Pilot who meets the eligibility requirements herein and who has the next highest Competition Score in accordance with the DRL Official game Play Rule.

4.8 DRL shall have no further responsibility to any Winner of the Contest who has not responded or fails to respond or fails to demonstrate that they are willing or able to attend the Live Tournament.

4.9 In the event of a termination or suspension of the Contest pursuant to Paragraph 8 hereunder, DRL reserves its right, at its sole discretion, to determine the Winner using all eligible entries received up to the time of termination using the judging procedure detailed herein.

4.10 Any and all decisions with respect to this Paragraph 4 shall be at DRL’s sole discretion and shall be deemed final.

  1. COLLECTION AND USE OF PERSONAL INFORMATION IN GENERAL

 

5.1 Terms and Conditions of Pilot with respect to ALL ENTRIES:

In participating in the Contest and Live Tournament, Pilot hereby agrees to the following with respect to the collection and use of personal information provided by the Pilot:

(a) Pilot consents and agrees to DRL Privacy Policy, which can be found at www.thedroneracingleague.com/privacy-policy/

(b) Pilot consents and agrees to any of DRL’s third party licensees’ Agreements, (including but not limited to Sponsor, STEAM and ESPN), including without limitation, to their respective Privacy Policies, Terms and Use and Terms and Conditions;

(c) DRL, Sponsor, STEAM and any other Third Parties designated by DRL, including but not limited to agents, representatives, partners, involved with the Contest and Live Tournament may collect and use Pilot information in any manner and in any media in their sole discretion, including but not limited to television and internet broadcasts, publishing channels, public relations, marketing and promotion, social media channels and platforms, and in any other manner deemed by DRL and others on its behalf in their sole discretion now known or herein after devised;

(d) Pilot consents to be contacted by DRL and any third parties on behalf of DRL with respect to any additional activities and events which may be held or required in connection with the Contest and Live Tournament and that any and all data with respect to Pilot participation may be used in connection with the Contest and Live Tournament as provided herein;

(e) Pilot agrees, understands, acknowledges and consents to signing a Media Release/Contract in connection with any and all of the required activities in connection with the Live Tournament.

(f) Pilot agrees, understands, acknowledges and consents to the Terms and Conditions and any additional Rules of Live Tournament attached herein and incorporated by reference herein.

  1. ADDITIONAL GENERAL TERMS AND CONDITIONS AND RULES

6.1 STEAM Account. Pilots must establish a STEAM account in order to be eligible to qualify and compete in the Contest and Live Tournament.

6.2 Cheating, Gameplay and Gaining an Unfair Advantage. The following rules apply to the Contest and the Live Tournament:

In the event DRL determines, in its sole discretion, that Pilot has engaged in any form of cheating, hacking, game glitching, impersonating, collusion, or otherwise abusing in-game mechanics, DRL shall, in its sole discretion shall forfeit Pilot’s heat and/or disqualify Pilot from continued participation in the Contest. The following shall constitute reasons for disqualification:

(a) Hacking: defined as any unauthorized modification to the DRL SIMULATOR by an outside third party;

(b) Game glitching: defined as “intentionally utilizing an internal game bug which was not intended for the purpose of gaining an unfair advantage;”

(c) impersonation: defined as “playing under another Pilot’s account or soliciting, inducing, encouraging or directing another person to play under another Pilot’s account;”

(d) collusion: defined as “two or more Pilots agreeing to affect the result of the competition and/or opposing Pilots”

(e)  abusing in-game mechanics:  defined as “any other activities similar to hacking, game glitching, impersonation, or collusion that, in DRL’s sole discretion, leverages an unfair advantage to the Pilot in a way that violates the spirit of fair play.”

6.3 Tampering. Additionally, Pilot may not tamper with game play in connection with the Contest and Live Tournament by intentionally slowing, delaying, stalling, disconnecting network cables, interrupting network connectivity, or interfere with the fair game play in any other manner or method unknown. DRL, in its sole discretion, shall determine the disqualification of Pilots who tamper or benefit from tampering herein as well as reserves the right to cancel, terminate, modify, amend, or suspend the Contest and/or the Live Tournament.

6.4 Betting, Bribery and Gifts Prohibited. Neither Pilot, nor any persons associated with Pilot, shall bet or gamble on the results of the Contest or Live Tournament.  Neither Pilot, nor any persons associated with Pilot, shall benefit directly or indirectly from the results of the Contest or Live Tournament. Pilot shall not offer or accept any gift or reward with respect to services promised, rendered, or to be rendered in connection with the Contest or Live Tournament, including but not limited to defeating or attempting to defeat a competing Pilot, being defeated or attempting to be defeated by a competing Pilot, or to otherwise throw or fix an event.

DRL shall, in its sole discretion, disqualify any Pilot whom it determines is engaged in betting, gambling, bribery or gift taking, in connection with the Contest and Live Tournament and take further legal action in law and in equity against any Pilot DRL deems necessary or required to preclude conduct and recompense damages.

6.5 Unsportsmanlike Conduct. With respect to the Contest and Live Tournament, Pilot shall not engage in any offensive or disrespectful language, including but not limited to hate speech, insulting, defamatory, threatening, abusive, libelous, slanderous, defamatory, or promote or incite hatred or discriminatory, nor use of foul language, and Pilot shall not engage in any bullying, cyber bulling, aggressive conduct or otherwise and shall at all times exhibit mature, professional adult, sportsmanlike conduct in any manner or media, platform or format, including but not limited to social media. DRL, in its sole discretion, shall disqualify any Pilot whose conduct in connection with the Contest and Live Tournament does not comport with this Paragraph 6.5 and DRL reserves the right to undertake legal action at law and equity against the offending Pilot. Additionally, DRL shall have the right to eject and remove any offending Pilot pursuant to this Paragraph and shall have no further obligations to Pilots exhibiting unsportsmanlike conduct.

6.6 Communication with DRL Staff. Where applicable, Pilots must use the official email address in order to communicate with appropriate DRL staff. This email address is Tryouts@drl.io.  DRL shall not be responsible for any failed attempts to contact DRL staff via any other channels or means. DRL does not guarantee a return response for Pilot communication and DRL expressly reserves rights to refuse same.

6.7 Contest Disputes. DRL will review and investigate any Pilot disputes with respect to Contest Competition Scores, provided however, that the Pilot shall contact DRL via email at Tryouts@drl.io with the subject heading DISPUTE and provide a detailed account of the nature of the dispute. Any decisions with respect to any dispute shall be made in DRL’s sole discretion.

6.8 DRL Decisions. DRL has the sole right to determine decisions with respect to the terms of this Agreement, and any other Agreement referred to herein. Further, to ensure and guarantee fair play of the Contest and Live Tournament, DRL has the right to rule against these rules. Pilots agree to be bound the final decision of DRL’s or anyone acting on DRL’s behalf with respect to these rules.

6.9 DRL Decisions Final. Pilot agrees to submit to and be bound by DRL’s final decisions, to be determined in DRL’s sole discretion, with respect to all aspects and elements in connection with Contest and Live Tournament, including but not limited to scheduling, staging, penalties for misconduct. DRL’s decisions may not be appealed and will not give rise to, result in nor create any monetary damages, judgments or awards nor equitable remedies.

6.10 Voided Entries. Any lost, late, misdirected, stolen, altered, garbled, incorrect, incomplete or delayed Entries and/or those entries mass generated by a script, macro or use of automatic devices will be void and deemed disqualified.

  1. RIGHTS OF PUBLICITY AND LIVE TOURNAMENT PARTICIPATION

7.1. Pilot hereby acknowledges and understands that the 2019 SWATCH DRL Live Tournament Finale will be filmed in Las Vegas, NV on February 9, 2019.

7.2 Pilot hereby agrees and consents to participating in the Live Tournament and represents and warrants that Pilot is eligible to participate in accordance with the terms and conditions herein Further Pilot hereby acknowledges, understands and agrees that Pilot will not receive any compensation with respect thereto.

7.3 Pilot understands, acknowledges and agrees and consents that the filming of the Live Tournament shall be broadcast and further used and exploited in whatever manner and media now known or hereinafter devised, including but not limited to editing of footage and derivatives, throughout the universe, and in any and all territories and countries in its sole discretion, by DRL, its Sponsors, and its licensees, designees, affiliates, agents, partners, assignees, and others acting in connection with or on behalf DRL.

7.2. Pilot agrees to participate in and shall put forth best efforts to be available and to participate in publicity and media activities in connection with the 2019 SWATCH DRL Live Tournament FINALE to be held in Las Vegas, NV as directed by DRL and its affiliates.

7.3 Pilot agrees and hereby grants the use of Pilot’s rights of publicity in connection with the Contest and the Live Tournament including but not limited to name, sobriquet, professional name, likeness, slogans, biographical material, voice, images, performances, comments, statistics in competition, in both still, recorded and moving/audio visual images reproductions, derivatives and by DRL and its affiliates, designees, partners, associated companies, licensees, distributors, for such purposes in their sole discretion for any and all uses, including but not limited to promotional, merchandising, marketing and publicity purpose in any manner and in any and all media now known or hereinafter devised, without notice and approval and without further recompense therein and therefor. Pilots further agree to put forth best efforts in participation in all such activities as provided herein. All rights granted with respect to the terms herein by Pilot shall be deemed works made for hire pursuant to the US Copyright Code throughout the universe, in perpetuity and if not deemed at such, shall be hereby assigned and transferred to DRL and its affiliates, licenses, partners, associated companies, licensees and distributors in any and all manner now known or hereinafter devised.

7.4 Pilot agrees to conduct him or herself in a manner which reflects positively on DRL and its third party licensees, sponsors, designees, representatives and partners.

7.5 Pilot shall not permit or do anything, including but not limited to entering into agreements which would interfere with performance in the Contest and/or Live Tournament, endorsing and promoting the products or services of competitors and shall not be entitled to exploit any agreements which shall adversely affect DRL, its third party licensees, sponsors, designees, affiliates, representatives and partners, their commercial rights and/or the value of its commercial rights.

  1. Pilot hereby acknowledges, agrees to and consents to any and all additional terms and conditions in connection with LIVE TOURNAMENT RULES which are incorporated by reference herein.
  2. GENERAL CONDITIONS.

8.1 Limitation on Liability

  • (A)  PILOT ACKNOWLEDGES AND AGREES TO INDEMNIFY AND HOLD HARMLESS DRL, ITS SPONSOR, LICENSEES, DESIGNEES, PARTNERS, OFFICERS, EMPLOYEES, DIRECTORS, REPRESENTATIVES, AGENTS, OFFICERS, AND ASSIGNS (“DRL AND ASSOCIATED PARTIES”) FROM ANY LIABILITY OR RESPONSIBILITY ASSOCIATED WITH ANY LOSS, LIABILITIES, DAMAGES, EXPENSES, INJURIES, OR DISAPPOINTMENTS SUFFERED OR INCURRED BY PILOT ARISING FROM PILOT’S PARTICIPATION IN THE CONTEST AND/OR LIVE TOURNAMENT. DRL AND ITS ASSOCIATED PARTIES DISCLAIM ANY AND ALL LIABILITIES FROM DAMAGES AND/OR INJURIES TO PILOT OR TO THOSE IN CONNECTION WITH PILOT WITH RESPECT TO THE USE, PARTICIPATION OR DOWNLOADING OF ANY MATERIALS IN CONNECTION WITH THE CONTEST AND/OR LIVE TOURNAMENT TO THE EXTENT THAT (I) DEATH OR PERSONAL INJURY IS A DIRECT CAUSE BY DRL’S AND ITS ASSOCIATED PARTIES’ NEGLIGENCE; (II) SUCH LIABILITY ARISES FROM FRAUD OR FRAUDULENT MISREPRESENTATIONS BY DRL OR ITS ASSOCIATED PARTIES’ OR (III) FOR ANY OTHER REASON OR BY ANY CAUSE WHICH CANNOT BE EXCLUDED BY LAW.
  • (B)  PILOT ACKNOWLEDGES AND AGREES TO INDEMNIFY AND HOLD HARMLESS DRL AND ASSOCIATED PARTIES FROM ANY LIABILITY OR RESPONSIBILITY ASSOCIATED IN ANY WAY WITH: (I) INACCURATE ENTRY INFORMATION; (II) ENTRIES THAT ARE NOT RECEIVED FOR ANY REASON, INCLUDING BUT NOT LIMITED TO MALFUNCTION OF COMMUNICATION NETWORKS, SERVERS OR PROVIDERS, COMPUTER EQUIPMENT OR SOFTWARE; (III) UNAVAILABILITY OR INACCESSIBILITY OF ANY SERVICES IN CONNECTION WITH THE CONTEST AND LIVE TOURNAMENT, WHETHER OR NOT CAUSED BY TRAFFIC CONGESTION ON THE INTERNET OR ON THE STEAM PLATFORM; (IV) ANY VOIDED ENTRIES PURSUANT TO 6.6 HEREIN; (V) ANY ERRORS OR MALFUNCTIONS, INCLUDING BUT NOT LIMITED TO NETWORK, PRINTING, TYPOGRAPHICAL, HUMOR OR TECHNICAL ERRORS, INCLUDING BUT NOT LIMITED TO ERRORS IN CONNECTION WITH THE ADMINISTRATION OF THE CONTEST, PROCESSING AND/OR JUDGING OF THE CONTEST AND LIVE TOURNAMENT, ANNOUNCEMENT OF WINNERS OR ANY CONTEST OR LIVE TOURNAMENT MATERIALS.

 

(C) PILOT HEREBY INDEMNIFIES AND HOLDS HARMLESS DRL, SPONSOR, STEAM AND DRL ASSOCIATED PARTIES, THEIR RESPECTIVE OFFICERS, DIRECTORS, AGENTS, EMPLOYEES, REPRESENTATIVES, SUCCESSORS AND ASSIGNS, FROM ANY AND ALL CLAIMS, LIABILITIES, LOSSES, INJURIES, COSTS, SUITS, DAMAGES, JUDGMENTS, AND PROPERTY DAMAGE (“CLAIMS”) INCLUDING REASONABLE ATTORNEY’S FEES AND COURT COSTS ARISE FROM 1) THE ACTUAL BONA FIDE BREACH BY PILOT OF ITS REPRESENTATIONS AND WARRANTIES HEREIN; 2) THE FAILURE TO COMPLY WITH ANY LAWS, TREATIES AND/OR REGULATIONS IN CONNECTION WITH THE OBLIGATIONS HEREUNDER; THE NEGLIGENT, RECKLESS, OR INTENTIONAL ACTS OF PILOT IF THEY CONSTITUTE A VIOLATION OF THIS AGREEMENT; 3) ANY INFRINGEMENT OR VIOLATION OF THIRD PARTY INTELLECTUAL PROPERTY RIGHTS, INCLUDING TRADEMARKS; 4) ANY BODILY INJURY OR DEATH OR PROPERTY DAMAGE RESULT FROM ARISING FROM THE ACT OR OMISSION OF PILOT OR ANYONE ASSOCIATED WITH PILOT.

8.2 Modification and Cancellation of Contest and/or Live Tournament.

  • (a)  DRL and its Associated Parties, in their sole discretion, reserve the right, at any time and from time to time, to, modify, amend, discontinue, postpone, temporarily or permanently, the Contest and/or Live Tournament, with or without prior notice for reasons outside of its reasonable control, including but not limited to as a result of and/or the discovery of anticipated, suspected or actual cheating, tampering, unauthorized intervention, technical failures, fraud, computer virus or bugs, or any catastrophic event. In the event, DRL and its Associated Parties permanently discontinues, cancels, or terminates the Contest and/or Live Tournament pursuant to this Paragraph 8.2, Pilot shall be released from Pilot’s obligations in connection with the terms and conditions and rules herein.
  • (b)  Additionally, DRL and its Associated Parties reserve the right, whether due to human error or technical error, to cancel, suspend, and/or postpone the Contest and/or Live Tournament in the event anticipated, suspected or actual cheating, fraud, computer virus or bugs or any catastrophic event may compromise or control fairness and/or integrity, failure of proper play in participation in the Contest or Live Tournament.
  • (c)  DRL and its Associated Parties, in their sole discretion, reserve the right to disqualify any and all individual(s) Pilot tampering with or benefiting from tampering with the Contest and/or the Live Tournament in any means or manner.
  • (d)  DRL and its Associated Parties shall not be liable or responsible for events beyond its reasonable control, in failing to perform its obligations hereunder, including but not limited to strikes, war, hostilities, political unrest, riots, civil disputes and disruptions, inevitable accidents, superseding legislative actions, weather conditions or any circumstances relating to Force Majeure, Impracticability and/or Impossibility of its performance hereunder.

8.3 Indemnification. Pilot hereby indemnifies and holds harmless DRL, Sponsor, STEAM and DRL Associated Parties, their respective officers, directors, agents, employees, representatives, successors and assigns, from any and all claims, liabilities, losses, injuries, costs, suits, damages, judgments, and property damage (“Claims”) including reasonable attorney’s fees and court costs arise from 1) the actual bona fide breach by Pilot of its representations and warranties herein; 2) the failure to comply with any laws, treaties and/or regulations in connection with the obligations hereunder; the negligent, reckless, or intentional acts of Pilot if they constitute a violation of this Agreement; 3) any infringement or violation of third party intellectual property rights, including trademarks; 4) any bodily injury or death or property damage result from arising from the act or omission of Pilot or anyone associated with Pilot.

  1. MISCELLANEOUS.

9.1 Jurisdiction. These Official Rules and any disputes in connection with these Official Rules shall be governed by the laws of the State of New York and the United States of America and any claims shall be brought in the federal and state courts of New York, United States of America, without regard to its choice of law principles.  Pilot acknowledges and agrees and consents to the jurisdiction of such court over any claim which may be asserted by DRL or Pilot and agrees to be bound to the state and federal courts in the State of New York and the United States of America.

9.2 Severability. In the event any provision of this agreement or the application thereof to any person or circumstances shall, to any extent, be held to be unenforceable for any reason, such provision shall be reformed to the extent necessary to make it enforceable and the remaining provisions of this Agreement shall not be affected and each remaining provision shall be valid and enforceable to the fullest extent permitted by law.

 

9.3. Construction. This agreement shall be interpreted and construed in a fair and impartial manner without regard to such factors as the Party which prepared the instrument or drafted any provisions thereof, the relative bargaining powers of the Parties to the domicile of any Party.

9.3 Headings. The headings herein are intended for convenience only and shall not be of any effect in construing the contents of these Official Rules.

DRL and its Associated Third Parties, in their sole discretion, hereby reserve the right to amend and modify these Official Rules, including but not limited to technical, software updates and releases, at any time. All decisions with respect to these Official Rules shall be final. Pilots warrant and represent that they have read and understand these Official Rules and are responsible and liable for adherence and compliance thereto.

Failure to comply with these Official Rules may result in DRL’s disqualification of the Pilot at any time. The Contest and Live Tournament are subject to all federal, state and local laws and regulations.

DRL operates globally so it may be necessary to transfer your information internationally. In particular, your information will likely be transferred to and processed in the United States where of our central databases operate.

Although DRL’s website and products and services are available online to a global audience, it neither targets EU citizens for offering goods and services, nor does it monitor their behavior.  In addition, DRL operates from the United States and does not have an established presence in the European Union. Therefore, DRL’s business activities currently are not subject to the EU Data Protection Laws, but DRL will promptly take reasonable steps to become compliance with such laws at an appropriate time, if necessary and applicable.
