Eligibility:

The DRL Facebook Live Sweepstakes (“Promotion”) is open only to legal residents of the fifty (50) United States and the District of Columbia (“U.S.”), who are at least eighteen (18) years of age (and the age of majority in their jurisdiction of primary residence, whichever is older) at time of entry who have Internet access, an active e-mail account, and a valid Facebook account as of date of entry. Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who have, within the past six (6) months prior to the start of the Promotion, performed services for Sponsor, Administrator or any organizations responsible for sponsoring, fulfilling, advertising or promoting the Promotion or the DRL “Live Broadcast” (as defined below), and/or their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of such individuals, are not eligible to enter or win a prize. “Immediate family members” shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. “Household members” shall mean people who share the same residence at least three months a year, whether related or not. Void where prohibited or restricted by law.

Promotion Schedule:

The Promotion will run from about 8:00 p.m.- 10:45 p.m. Eastern Time (“ET”) on Wednesday, September 5, 2018 (“Promotion Period”). The Promotion Period consists of six (6) separate and distinct entry periods (each, an “Entry Period” and collectively, the “Entry Periods”), as defined below, wherein one (1) prize will be awarded in a random drawing (each, a “Giveaway”) during each Entry Period, as described herein . Sponsor’s computer is the official clock for the Promotion.

How It Works:

Live Broadcast Entry:

Throughout the Promotion Period, DRL will host a Facebook Live event (the “Live Broadcast”) at https://www.facebook.com/thedroneracingleague/ (“Website”). During each Entry Period, viewers of the Live Feed will be invited to interact with the Live Feed as directed for a chance to win the prize associated with the corresponding Giveaway.  The details of each Giveaway, including how to participate/enter and the specific participation/entry deadline for each Giveaway will be communicated at the onset of each Giveaway.  Non-winning entries from any applicable Giveaway WILL NOT roll over to subsequent Giveaways.  For some Giveaways, entrants may be required to post a comment, written content and/or hashtags regarding various topics (collectively, “Content”) to the chat section of the Live Broadcast as directed during the Live Broadcast. For example, a Giveaway could require that entrants post a comment with a specific hashtag and your favorite drone pilot, your favorite drone color, which city you would like to see a race in or your favorite level from 2017. In all cases, your posted Content constitutes an entry in the corresponding Giveaway. Each action taken by an eligible entrant for a Giveaway in compliance with the entry instructions announced for the Giveaway will result in one (1) entry into the corresponding Giveaway.

You may participate in as many Giveaways as you wish, however there is a limit of one (1) entry per person per Giveaway. Multiple entries in violation of the preceding limits, or mass entry attempts may result in disqualification of all entries by such person/email address/Facebook account. Entries must be manually key-stroked by the entrant; use of automated entry devices or programs, or entries by third parties by any method of entry, are prohibited.

Notwithstanding the start and end times for each Entry Period as set forth in Rule 3 above, each Giveaway will start when the call-to-action is announced during the Promotion Period and end at the time announced and posted on-screen for each Giveaway; and, to be eligible to win a prize in a particular Giveaway, an entry must be received by the applicable deadline as announced on the Live Stream for that Giveaway.

In the event of any inconsistency between the stated requirements for entry into any Giveaway as announced during the Live Broadcast and these Official Rules, the stated requirements made during the Live Broadcast will prevail, govern and control only with regard to the specific activity addressed by such requirements (i.e., the call-to-action for entry into a Giveaway); but, in all other respects, these Official Rules will prevail, govern and control.

 

 

BY SUBMITTING CONTENT IN THE PRESCRIBED MANNER FOR A GIVEN GIVEAWAY DURING THE LIVE BROADCAST YOU ARE INDICATING THAT YOU HAVE READ, UNDERSTOOD AND FULLY AGREE TO THESE OFFICIAL RULES. DO NOT SUBMIT CONTENT WITHOUT FIRST REVIEWING THESE OFFICIAL RULES.

 

 

Content must be entirely original to the entrant and created for the sole purpose of participation in this Promotion. (DO NOT COPY OTHERS’ WORKS, IN WHOLE OR IN PART.) Do NOT include personal information (e.g., your full name, e-mail address or phone number) in the Content itself; if the Content contains personal information, it is your sole responsibility to remove all such personal information from Content before posting for the Promotion. Your Content CANNOT include/reference (by name/image) any individual(s) other than yourself.

Once submitted, entries become the sole property of Sponsor (subject only to the rights of Facebook, as applicable) and cannot be modified by entrant. By submitting Content, entrant gives permission to Sponsor and its designees and hereby grants Sponsor and its designees a royalty-free, irrevocable, perpetual, worldwide, sub-licensable, non-exclusive license (herein “License”) to use entrant’s Content in any media and through any means now known or hereafter devised, including without limitation, the World Wide Web, and to otherwise use entrant’s Content, and make derivative works therefrom, without compensation in accordance with the requirements of this Promotion and the advertising, promotion, and publicity of the Promotion, Sponsor’s products and services, and otherwise, as stated in these Official Rules (as solely determined by Sponsor). Such License will be confirmed by potential winners upon Sponsor’s request and potential winners agree to timely complete, sign and deliver any and all necessary documents, including without limitation, documents setting forth any licenses, releases and indemnities that Sponsor, in its sole discretion, may require, without condition or compensation of any kind. Sponsor’s failure to receive all documentation from all individuals within the prescribed timeframe, in each instance as required by Sponsor in its sole discretion, may result in the disqualification of the entry and the selection of another entry as a potential winner.

 

 

FOR ALL POSTED COMMENTS, THE COMMENTS REPRESENT SOLELY THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS/OPINIONS OF SPONSOR IN ANY MANNER. SPONSOR IS ACTING AS A PASSIVE CONDUIT FOR THE POSTING/PUBLICATION OF COMMENTS AND HAS NO OBLIGATION TO AND EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY IN CONJUNCTION WITH SCREENING, MONITORING OR REVIEWING THE CONTENT OF COMMENTS.

 

 

Entries that do not conform to or that violate these Official Rules or are submitted in any manner other than stated in these Official Rules will be disqualified. (Without limiting the foregoing, Content posted outside of the applicable Giveaway of the Live Broadcast will NOT result in Promotion entry.) Sponsor will not be responsible for late, lost, incomplete or misdirected entries. All Live Broadcast entries must be posted to the Live Broadcast chat on Facebook in their entirety prior to expiration of the relevant Giveaway entry deadline. By entering this Promotion, entrants agree to these Official Rules and the decisions of the Sponsor (including the host of the Live Broadcast), which are binding and final in all matters relating to this Promotion.

You may only use one (1) Facebook account to participate in the Promotion. All Content must comply with the Facebook Terms of Service and Facebook Rules available at the Facebook Web Site.

If you opt to access Facebook via your wireless mobile device, data rates may apply according to the terms and conditions of your service agreement with your wireless carrier. Other charges may apply (such as normal airtime and carrier charges as well as charges for wireless Internet access) and may appear on your mobile phone bill or be deducted from your prepaid account balance. Wireless carriers’ rate plans may vary, and you should contact your wireless carrier for more information on messaging rate plans and charges relating to your participation in this Promotion. Mobile device service may not be available in all areas. Check your phone’s capabilities for specific instructions.

Content Guidelines: In addition to complying with all other requirements of these Official Rules each Entry must comply with the following guidelines (“Content Guidelines”). Any Content that Sponsor, in its sole discretion, determines is in violation of any of the following Content Guidelines will be disqualified.

 

 

Each Entry MUST NOT:

Contain images of/reference any individual(s) other than yourself

Contain content that violates or infringes any third party rights of any kind, including without limitation, any third party privacy, publicity, trade secret and/or intellectual property rights, including third party registered and/or common law copyrights and trademarks;

 

Name a brand, trademark or logo of any third party other than products manufactured by or for Sponsor*;

 

Contain content that is misleading, inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous or libelous;

 

Contain content that reflects, advocates or promotes bigotry, racism, hatred, harm or exploitation of or against any class, group or individual, discrimination based on race, gender, religion, nationality, disability, sexual orientation or age, or actions or activities that are restricted, prohibited, illegal or unlawful (including without limitation, the consumption of alcohol or other controlled substances);

 

Contain content that is unlawful or in violation of or contrary to any applicable federal or state laws or regulations;

 

Have been previously submitted in a promotion of any kind, or published, posted, exhibited or displayed publicly for commercial use;

 

Is not relevant to the applicable Giveaway theme or is not truthful in all material respects. Without limiting the foregoing, if Content includes a statement about DRL products or pilots, the Content represents your true and honest opinion regarding such products or individuals.

 

In addition to the foregoing, an entry cannot:

Contain executable programming of any kind, including without limitation, viruses, worms, Trojan horses, spyware, malware, time bombs, Easter eggs, cancel bots or any kind of malicious or benign computer programming whatsoever; and

Contain encrypted content of any kind, including without limitation, encoded messages.

Finally, all entries must be responsive to the Giveaway call-to-action as provided during the Live Broadcast to qualify as an entry.

If Content cannot be opened, viewed and/or accessed by Sponsor for any reason whatsoever, that file and/or Content shall be disqualified without any fault or liability of the Released Parties, as defined below.

*Sponsor grants to each qualified entrant a limited, non-transferable, non-exclusive, non-sublicensable, revocable right to use its and/or its licensor’s trademarks and/or other content solely for purposes of and limited to their entry/entries submitted in this Promotion; such right and license will automatically expire without further act of any party at the expiration of the Promotion Period, unless specifically extended on an individual basis by Sponsor in writing in its sole discretion. Any other use of Sponsor’s and/or its licensors’ trademarks will be a violation of Sponsor’s or its applicable licensors’ intellectual property rights.

Random Drawings/Selection of Winners/Odds: Potential prize winners will be selected via a series of random drawings on or about 9/6/18 from among all eligible entries received and recorded for each Entry Period (as applicable). For the avoidance of doubt, in all cases, the Content will not be taken into account in the winner selection process (provided that the Content is responsive to the call-to-action for the corresponding Giveaway and is otherwise in compliance with these Official Rules, as determined at the sole discretion of Sponsor). All drawings will be conducted by Sponsor at its offices in New York, NY USA (or another location of its sole choosing) whose decisions are final and binding on all matters related to the Promotion.

Odds of winning a prize for a given Giveaway depend on the total number of eligible entries received during the corresponding Entry Period.

Winner Notifications: Potential winners will be contacted by private message from the DRL Facebook account to the potential winner’s Facebook account used to enter the Promotion on or about September 6, 2018. Potential winners must allow for DRL to contact him/her via private message. Sponsor expressly disclaims any and all liability in conjunction with unsuccessful attempts to notify potential winners due to their Facebook privacy settings (or any other reason). All potential winners are subject to verification of eligibility before a prize is awarded. The initial verification notification (direct message) will request each potential winner email the Administrator at a specific email address for further instruction on how to claim the applicable prize. Failure to respond to the initial notification within seventy-two (72) hours with all required information, or if initial notification is undeliverable after two (2) attempts will result in disqualification. Potential winners may be required to sign and return within three (3) business days, an Affidavit of Eligibility, Release and Indemnification, W-9 tax form, and a Publicity Release where allowed by law (“Winner Documents”). If the Winner Documents are not returned to Sponsor within the specified time period (if applicable), a potential winner may be disqualified. If a potential winner is found to be ineligible or otherwise not in compliance with these Official Rules or if a potential winner does not accept their prize for any reason, prize may be forfeited, and the potential winner may be disqualified. If for any reason, a prize is not claimed, or a winner is disqualified, the corresponding prize may be awarded to an alternate winner.

In the event of any dispute concerning the identity of any entrant, the Entry will be deemed submitted by the natural person who is the authorized holder of the transmitting e-mail account associated with the Facebook User ID, as long as such person is otherwise eligible in accordance with these Official Rules. “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. If a potential winner is disqualified for any reason, potential winner’s prize will be forfeited without compensation of any kind and an alternate winner may be selected.

Prizes and Approximate Retail Value (“ARV”):

Giveaway 1 Prize (one [1] winner): One (1) DRL Racer3 Drone. ARV: $1,000

Giveaway 2 Prize (one [1] winner): One (1) DRL Racer3 Drone. ARV: $1,000

Giveaway 3 Prize (one [1] winner): One (1) DRL Racer3 Drone. ARV: $1,000

Giveaway 4 Prize (one [1] winner): One (1) DJI Tello Drone. ARV: $100

Giveaway 5 Prize (one [1] winner): One (1) DJI Tello Drone ARV: $100

Giveaway 6 Prize (“Grand Prize”) (one [1] winner): Grand Prize winner will receive a 3-day/2-night trip (“Trip”) for winner and one (1) guest to attend the 2019 DRL Championship Event (the “Event”). Winner will receive confirmation of date and location of Event after Grand Prize is awarded; the Event date is at Sponsor’s sole discretion and is subject to change.

Trip consists of: round-trip economy class air transportation for the winner and one (1) guest to the Event city from an airport near winner’s home (selected by Sponsor in its sole discretion); two (2) nights hotel accommodations (one standard room, double occupancy) in hotel selected by Sponsor in its sole discretion; round-trip ground transportation between Event area airport and hotel; round-trip ground transportation between hotel and Event; and two (2) admission tickets to the Event. ARV of the Grand Prize is $4,950.00.

Actual final value of Grand Prize may be higher or lower based on point of departure and hotel availability and cost as determined by time of purchase and travel. If Grand Prize winner lives within approximately 150 miles of Event location (as determined by Sponsor in its sole discretion), he/she will receive, in lieu of air transportation, round-trip ground transportation between winner’s home and the hotel and no additional compensation relating to transportation will be provided. The Grand Prize winner’s guest must sign and return a Liability and Publicity Release prior to ticketing of Grand Prize travel.  If winner brings a minor as their guest, the winner must be the minor guest’s parent or legal guardian, who must sign the required Liability and Publicity Release on his/her behalf. If winner elects to participate in Grand Prize travel with fewer than one (1) guest (i.e. alone), Grand Prize will be adjusted as appropriate for the actual number of travelers, but the winner will not receive any substitute prize or compensation due to the decreased number of guests.

Grand Prize winner must travel on specific dates to be designated by Sponsor to coincide with the Event. If winner cannot travel on dates specified by Sponsor, the Grand Prize may be forfeited and the Grand Prize may be awarded to an alternate winner (time permitting) randomly selected from all remaining eligible entries received for Giveaway 6.

If, for whatever reason, the Event is cancelled or rescheduled after the tickets are ticketed, no compensation will be paid in lieu of any cancelled or rescheduled Event taking place.  No responsibility is assumed by Sponsor if Event is cancelled, rescheduled, delayed or postponed, in whole or in part.  Unused tickets cannot be refunded or exchanged.  If the Grand Prize winner does travel on the dates specified by Sponsor, but the Event is postponed, delayed, or cannot take place for any reason, winner will receive the remainder of the Grand Prize, i.e., a trip to the Event city, with no further compensation from Sponsor.

In the event you are selected as a potential winner or you are the recipient of the Grand Prize, you agree that you will forfeit the Prize (and neither Sponsor nor Administrator shall have any liability to you) if you fail to provide the necessary information or obtain travel or similar documents (i.e. passport) (or comply with other applicable travel requirements). Air transportation tickets are non-refundable and non-transferable and are not valid for upgrades or frequent flyer miles. All air transportation tickets are subject to the vagaries of flight variation, work stoppages, and schedule or route changes without notice. Grand Prize winner will not receive cash or any other form of compensation if actual travel costs are less than the Grand Prize ARV stated in these Official Rules. The Released Parties are not liable for any missed events or opportunities or expenses incurred as a consequence of flight cancellation or delay or ground transportation delay.

Grand Prize winner and winner’s guest must follow all reasonable instructions of Sponsor relating to the Grand Prize trip. Should Grand Prize winner and/or guest fail to adhere to any such instructions or engage in unruly, obnoxious, illegal, offensive, threatening, or otherwise inappropriate behavior (as determined by Sponsor in its sole discretion), Sponsor reserves the right, without further notice or warning, to terminate the Trip early, in whole or in part, and send Grand Prize winner and/or winner’s travel guest home and/or take other actions as Sponsor deems appropriate in its sole discretion without any liability or other obligation to winner or guest.

Limit of one (1) prize per person/Facebook account. Actual final value of each prize may vary depending upon product received; and, under no circumstances will a winner receive the difference between the stated ARV and actual final value of any prize in cash. No substitution, cash redemption or transfer of prize except with Sponsor’s permission (which may be granted or withheld for any reason) or where required by law. Prizes will only be delivered to an address within the United States (excluding Guam, Puerto Rico, U.S. Virgin Islands and other U.S. territories). Sponsor in its sole discretion may award a substitute prize of equal or greater value if an advertised prize is unavailable at time of awarding for any reason. All federal, state and/or local taxes are the sole responsibility of the winners. Winners for Giveaways 1, 2, 3 and 6 will receive an IRS Form 1099 reflecting the actual final retail value of their Prize or Trip (as applicable).

Limitations of Liability:

Released Parties (as defined in Rule 10 below) are not responsible for incomplete, inaccessible entries/Content, Internet connections or email; technological/programming/electronic or other error, or for any computer, telephone, wireless, satellite, cable, network, electronic, Internet or phone hardware or software malfunctions, failures, connections, or availability, or garbled, corrupt or jumbled transmissions, service provider/Internet/website/use net/accessibility, availability, or traffic congestion, Internet contact, or any technical error, or program errors or malfunctions or unauthorized human intervention, or the incorrect or inaccurate capture of entry/Content, or other information, or the failure to capture, or loss of, any such information. (The preceding expressly includes but is not limited to any filtering or other operation of the functionality of Facebook which interferes with or otherwise impedes the intended proper operation of the Promotion including Live Broadcast.) If for any reason the Promotion (in whole or in part) is not capable of running as planned, as solely determined by Sponsor, including but not limited to by including postponement, interruption, delay or other interference of any kind with the originally intended transmission of Live Broadcast, infection by computer virus, bugs, tampering, unauthorized intervention, fraud or technical failures that can corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Promotion. Without limiting the foregoing, if Live Broadcast is interrupted or postponed from its original date or time due to labor issues/work stoppage, natural cataclysm, state of emergency, or any other force majeure event (such that the Live Broadcast cannot be shown in its entirety as originally intended by Sponsor), Sponsor reserves the right to modify or suspend the timing and/or entry deadlines and prize award schedule of affected Giveaway(s) and, in such event, notice will be posted at Website. In such instance, Sponsor also reserves the right to award prizes listed in these Official Rules for the affected Giveaway(s) via some means determined by Sponsor in its sole discretion that are to be fair, appropriate and consistent with the spirit of these Official Rules. Notice of such action by Sponsor will be posted on the Website. The right is reserved by Sponsor to disqualify any individual found, at their sole discretion, to be tampering with the entry process, the operation of the Promotion, to be acting in violation of the Official Rules, or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Released Parties are not responsible for any injury or damage to entrant’s or any other person’s computer or mobile device related to or resulting from participation in this Promotion.

Entrants further agree not to knowingly damage or cause interruption of the Promotion and/or prevent others from participating in the Promotion.

 

 

CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION VIOLATES CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE OR AN INDIVIDUAL OTHERWISE ATTEMPTS TO DEFRAUD SPONSOR, SPONSOR MAY DISQUALIFY ANY ENTRANT MAKING SUCH ATTEMPT AND SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.

 

Additional Conditions:

By participating, entrants agree to be bound by and abide by these Official Rules and the decisions of Sponsor (including the host of the Live Broadcast), which shall be final and binding in all respects. By participating in this Promotion, entrants agree to release and hold harmless Sponsor, Administrator, Facebook, Inc., Instagram, LLC, Twitter, Inc., LinkedIn Corporation, Twitch Interactive Inc.,YouTube LLC their respective parent, subsidiary, affiliated and successor companies, advertising and promotion agencies and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns (collectively, the “Released Parties”) from any and all actions, claims, injury, loss or damage (whether due to negligence or otherwise) to person(s), including death, and property or breach or failure or any representation of warranty arising in any manner, directly or indirectly, from participation in this Promotion and/or from the acceptance, misuse or use of any prize. By entering, entrant authorizes the Sponsor and its designees to use entrant’s name, voice, likeness, photograph, prize information, biographical data and city and state/province of residence in programming, advertising, trade and/or promotional material and on a winners’ list (if applicable) in all media now known or hereafter discovered, world-wide and on the World Wide Web and Internet, at any time, in perpetuity, without compensation (where permitted by law) and without review, approval or notice, to the extent permitted by law. Sponsor is not obligated to use any of the above-mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s sole discretion, without further obligation or compensation.

Disputes; Arbitration/Choice Of Law:

To the fullest extent permitted by law, Entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or the awarding of prizes shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court of New York; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (3) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Sweepstakes shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the
